Call to Order
The regular meeting of the Board of Trustees of the Town of Kiowa was called to order on November 8, 2022, at 7:00 PM by Mayor Rick Kolm.
Roll Call
Present: Director Trevor Smith, Director Carey Kalisch, Director Tim Chambers, Director Terry Howard and Director Jonathon Shafer. The Town of Kiowa had a quorum to conduct business.

Town Clerk: Tasha Chevarria
Guests: Ruth Borne, Town Counsel, Debbie Ullom, KWWA, John Hill, reporter for Ranchland News.
Pledge of Allegiance
Mayor Rick Kolm led the audience in the pledge of allegiance.
Agenda Consent
Director Howard made the motion to approve the agenda. Director Smith seconded, and the motion carried 5-0 with no discussion.

Ms. Boyd advised the annual Town Christmas event is coming up on Saturday, November 26th, at the Elbert County Fairgrounds from 12noon until 5:30pm with lighted car parade and tree lighting immediately following. - Public Works

Consent Items
- Approval of minutes from September 2022 BOT monthly meeting
Director Chambers made the motion to approve the October 11, 2022, regular monthly meeting minutes. Director Howard seconded, and the motion carried 5-0 with no discussion. - Expenditures for Year-to-Date 2022
The year-to-date expenditures were provided for review in the meeting packets. Director Howard made the motion to approve the expenditures. Director Smith seconded, and the motion carried 5-0 with no discussion.

Old Business
- Structural Engineer RFP - Town park pavilions
Ms. Boyd referred Trustees to the two (2) RFP responses submitted on behalf of Cornell Engineering and JVA Engineering. After review, Director Smith made a motion to accept and approve entering a contract with Cornell Engineering, Director Kalisch seconded the motion and it carried 5-0 with no discussion.

Director Howard made the motion to approve the adoption of Policies 22-0021 through 22- 027, including Policy 22-050. Director Smith seconded, and the motion carried 5-0 with no discussion.

Director Kalisch made a motion to leave regular session at 7:18pm and move into Executive Session. Director Howard seconded, and the motion carried 5-0 with no discussion.
Director Shafer made a motion to move into Executive Session at 7:18pm. Director Howard seconded, and the motion carried 5-0 with no discussion.
Executive Session
Subject to C.R.S. 24-6-402(4), the Town of Kiowa Board of Trustees will meet in an executive session upon affirmative vote of 2/3 of the quorum present, for the sole purpose of considering:
(b) Conferences with Town Attorney for the purposes of receiving legal advice on specific legal questions regarding the development agreement approval with Kiowa Creek Meadows; and (e)(I) determining positions relative to matters that may be subject to negotiations; developing strategy for negotiations; and instructing negotiators on Kiowa Creek Meadows.
Director Shafer made a motion to close the Executive Session at 7:42pm and move back into regular session. Director Chambers seconded, and the motion carried 5-0 with no discussion.
Director Howard made a motion to move back into regular session at 7:42pm. Director Smith seconded, and the motion carried 5-0 with no discussion.
Motion was made by Director Chambers to direct Town legal counsel, Ruth Borne to send a demand letter to Craft Companies regarding past due invoices and draft an ordinance to nullify the Kiowa Creek Meadows development agreement. Director Kalisch seconded, and the motion carried 5-0 with no discussion. A poll of the Board resulted in unanimous AYES, and no NAYS.

Director Howard made the motion to adjourn at 7:45pm. Director Chambers seconded, and the motion carried 5-0 with no discussion.
The next regular meeting will be on December 13th at Town Hall at 7:00pm
